Terms & Conditions
By placing any orders with Novikov Designs™ the Buyer complies with the Terms & Conditions set out bellow:
PRODUCTION TIME
All Novikov Designs™ (ND) products are bespoke and made by order. This requires a minimum lead time period of 8-10 weeks for manufacture and production. ND are entitled to extend this lead time if necessary and will not be held responsible for any damages or circumstances caused by this extension.
For pieces with custom specifications or orders of large quantities ND reserve the right to confirm and agree with the customer on a time of delivery.
ORDER CANCELATION
After 5 working days since payment has been made to the account, orders are not cancellable or returnable. If the order is cancelled within five business days of payment taking place, the amount paid will be credited back to the original account from which payment was received. Any bank/transfer service charges will be deducted from the amount.
Changes in orders, returns or cancellations require prior written approval from manufacturer. In any other case (delay, client indecision, loss of projects, etc,.) the amount paid to ND will not be refunded and the client will lose any right to the goods.
TRANSPORT
Transport/shipping costs are not included in the price of the item. Fallowing approaches of delivery are provided:
- ND can arrange delivery on behalf of the buyer at an additional cost. This in no way implies that ND is responsible for the performance of the carrier or any damage caused during transit of the goods. The shipment must also have transit insurance cover. ND will not be arranging any deliveries on behalf of the buyer if the shipment is not insured and the buyer refuses to insure the goods.
Internationally shipped items may be subject to customs duties and sales or Value Added Tax (VAT) set by the country of destination. These fees are not calculated prior to customs clearance for the country of destination and are additional to the price and cost of transportation that is charged at the time of shipment. Any customs duty and taxes that apply are the responsibility of the buyer.
Any shipments returned to Seller as a result of Buyer’s unexcused delay or failure to accept delivery will require buyer to pay all additional costs incurred by Seller, including storage & handling fees.
- The buyer will schedule the collection of the merchandise with his own forwarder from the manufacturing facilities during weekdays & normal working hours.
FREIGHT POLICY & DAMAGE CLAIMS
Once the order is nearing completion, ND will notify the Buyer that the shipment for the purchased goods can be arranged. The responsibility lies with the Buyer after the goods have been handed over to carrier for delivery.
All products are carefully packed and inspected prior to shipment. The refusal of damaged merchandise in no way relieves the Buyer of responsibility for payment of goods. ND are not responsible for loss or damage in transit.
Responsibility for damage occurring in transit lies with the Buyer and all claims for freight damage must be made within 48 hours of receipt. ND will not accept any claim on merchandise after the 48-hour period. Clear digital photographs of damaged goods and boxes will be required as evidence for replacement consideration. All damaged crates/packaging must be retained until the claim with carrier is settled.
Buyer must be present when accepting the delivery or arrange all necessary means to accept the delivery. Signature of receipt by Buyer, their agent or employee constitutes full acceptance of all packages stated on the invoice.
ND shall not be liable for delay in shipment for any cause, nor shall any delay entitle Buyer to cancel any order after it has shipped, or refuse delivery. Buyer agrees that the shipping address provided to ND in writing is a valid shipping address to receive the goods.
RETURN AUTHORISATION
No returns will be accepted without written consent from ND. It is within our sole discretion to decide whether to accept returns of merchandise. Items returned without our prior authorization will be refused at Buyer’s expense.
If a written consent has been given and returns confirmed, all items must be in their original condition and packaging. Buyer shall also prepay and be liable for all charges in connection with the shipping of returned goods, including insurance. The initial 50% payment will be kept on all returns of merchandise. Custom items are not returnable under any circumstances.
ACCOUNTS ORDERS & PAYMENT
There is no minimum quantity required when placing an order. All accounts will be opened as pro-forma. By submitting an order, you are warranting that you are a valid Buyer with regular cash flow and capable of making payments in full. Once your order is confirmed there are no cancellations.
Initial 50% payment of the invoice must be made to formally place an order and enable manufacturing. Remaining 50% of the outstanding balance has to be made once the furniture is manufactured, prior shipment. Once ND submits a formal written notice of order completion and availability, Buyer has up to 10 business days to pay the outstanding balance of the invoice and arrange for shipping of product(s). Failure to do so will result in additional fees. These fees are outlined in PRODUCT AND STORAGE FEES Section.
All product(s) are the property of ND until payment is received in full. ND reserves the right to defer the dispatch date until the balance of the order is received. All orders in the amount of £4,000 or less will require payment in full prior to processing the order.
PRODUCT AND STORAGE FEES
Upon order being completed and becoming available for collection, additional storage fees of 1% per week of total invoice value will be charged to store merchandise, if the outstanding invoice balance is not paid in full and shipping arrangements have not been made within given 10 working days from the date ND issues written final payment request. The 1% charge will be compounding each week until outstanding invoice is paid in full and shipping has been arranged and paid.
PRICING
ND reserve the right, without prior notice, to discontinue products or change specifications and prices on products. Prices always refer to one unit and exclude VAT and transport. All prices fluctuate by the type of industry the Buyer represents. Packaging is always included in our price, however, if the customer requires specific packaging, they will be charged accordingly.
TAXES
All taxes and excises of any nature whatsoever now or hereafter levied by governmental authority, whether federal, state or local, either directly or indirectly, upon the sale or transportation of any goods covered, hereby, shall be paid and borne by Buyer.
CUSTOM ORDERS
Custom orders will necessitate special pricing based on quantity and features. All custom designs are subject to a non-refundable design fee plus any customisation charges. This will be determined on a case-by-case basis and agreed with Buyer. For products with custom specifications ND reserve the right to extend the listed lead time. Custom orders are not returnable under any circumstances.
FORCE MAJEURE
All shown completion and delivery dates are estimates only.
Manufacturer shall not be liable for delays in completion or shipment or default in delivery for any reason of force majeure or for any cause beyond manufacturers reasonable control. Including, but not limited to (a) government action, war, riots, civil commotion etc,., (b) Manufacturer’s inability to obtain necessary materials from usual sources of supply, (c) shortage of labour, raw material, production or transportation facilities or other delays in transit, (d) labour difficulty involving employees of manufacturer or others, (e) fire, flood or other casualty, or (f) other contingencies of manufacture or shipment. In the event of any delay in manufacturer’s performance due in whole or in part to any cause beyond manufacturer’s reasonable control, manufacturer shall have such additional time for performance as may be reasonably necessary under the circumstances.
MATERIALITY
Natural finishes such as woods, stones and metals are applied by hand and may vary in colour, tone and character. While manufacturer will make every effort to match a finish, no such guarantee can be made. Manufacturer does not guarantee finishes against fading and oxidizing. Complex and delicate parts of ND products which require special care and detail are handmade, and subject to slight variations.
EXCLUSIONS
All manufacturer’s drawings, description, weights, dimensions, illustrations and visual imagery contained in the manufacturer’s catalogues, websites or social media advertisements are close approximations only and intended to give a general description of the goods and shall not form part of this agreement. All ND furniture and lighting are handmade, and therefore subject to variations.
WARRANTY
There are no warranties with the ND product range. ND reserves the right to determine and evaluate whether a replacement or repair is most appropriate. ND cannot be held responsible for damages caused by incorrect, inappropriate or careless use of delivered goods.
PRODUCT STANDARDS
Every piece is hand crafted. Although best efforts are made to maintain uniformity; slight variations may occur.
PROPERTY RIGHTS
Every right of design remains full property of Novikov Designs™.
REMEDIES UPON DEFAULT
Manufacturer requires payment for any shipment hereunder in advance. If Buyer fails to make payment in accordance with the terms of this agreement or otherwise fails to comply with any provision hereof, manufacturer may, at its option, cancel any unshipped portion of this order, retain the goods and declare a forfeiture of the deposit as liquidated damages.
ONLINE REPRESENTATION POLICY
Dealers with online trade and websites may neither advertise nor in any way display the ND trademark, name, logo, product images or any other proprietary company emblems or information without prior written consent from the company. Dealer websites may not display pricing lower than ND’s MSRP, promotional offers, discounts or value statements. DISTRIBUTION POLICY
ND reserves the right to make a formal decision whether to re-sell to any dealers whose distribution or sales tactics result in a negative effect on ND’s image and ability to compete and sell into any specific region.
DISPUTE
In case of dispute, English law in every aspect govern any contract made on these terms.
